§ 125. Officers
(a) An officer shall preside at all meetings of the directors.
(b) The chair shall be a member of the board of directors appointed by the governor of Vermont or, should the governor not make such a designation within 30 days of a vacancy in the office of chair, shall be elected by the directors until such time as the governor's designation is made. The vicechair and secretary/treasurer shall be elected by the directors.
(c) The officers of the center shall consist of the chair, the vicechair, and the secretary/treasurer. A vacancy in the offices of vicechair or secretary/treasurer because of death, resignation, removal, disqualification, or otherwise, may be filled by the board of directors for the unexpired portion of the term.
(d) The officers shall have the following powers and duties:
(1) The chair shall call and preside at regular and special meetings of the board, serve as a nonvoting ex officio member of all committees except the executive committee, and shall have the powers and shall discharge the duties customarily and usually held and performed by a like officer of corporations similar in organization and business purposes to the center.
(2) The vicechair shall serve as chair in the absence of the chair.
(3) The secretary/treasurer shall have the powers and shall discharge the duties customarily and usually held and performed by a like officer of corporations similar in organization and business purposes to the center. (Added 1993, No. 204 (Adj. Sess.), § 2, eff. June 17, 1994.)
