§ 713. Officers; quorum
(a) The members shall meet at least once every year and at their first meeting annually shall elect one of their number to serve as vice-chairman for a term of one year. The powers of the authority are vested in the members and three members of the authority shall constitute a quorum. Action may be taken and motions and resolutions adopted by the authority at any meeting by the affirmative vote of at least three members of the authority.
(b) The chairman shall be the chief executive officer of the authority and shall be responsible for the discharge of the executive and administrative functions and powers of the authority. He or she shall be empowered to delegate the functions or powers, including, without limitation, that of appointment, discipline and removal of officers or employees, to one or more executive officers appointed by the authority.
