13.1-1047 - Judicial dissolution.

§ 13.1-1047. Judicial dissolution.

A. On application by or for a member, the circuit court of the locality inwhich the registered office of the limited liability company is located maydecree dissolution of a limited liability company if it is not reasonablypracticable to carry on the business in conformity with the articles oforganization and any operating agreement.

B. When the winding up of the affairs of the limited liability company hasbeen completed, the court shall so advise the Commission, which shall enteran order of cancellation of the limited liability company's existence.
