13.1-323 - General and special meetings; how called.

§ 13.1-323. General and special meetings; how called.

After the incorporation of an association the members thereof shall hold anorganization meeting at a time and place fixed by the board of directorsnamed in the articles of incorporation and shall adopt a set of bylaws. Notless than ten days' written notice thereof shall be given to each member. Anassociation may provide in its bylaws for one or more regular meetings eachyear. Special meetings of the members may be called by the board ofdirectors, and it shall be their duty to call such meetings when ten percentof the members file with the secretary a petition demanding a special meetingand specifying the business to be considered at such meeting. Regular orspecial meetings may be held within or without the Commonwealth. Notice ofall meetings, except as otherwise provided by law or the articles ofincorporation or bylaws, shall be mailed to each member at least ten daysprior to the meeting. In the case of special meetings the notice shall statethe purposes for which it is called. The bylaws may provide that all noticesshall be given by publication in a periodical published by or for theassociation, to which substantially all its members are subscribers, or in anewspaper or newspapers whose combined circulation is general in theterritory in which the association operates.
