§ 38.2-202. Regulation of solicitation of proxies, consents andauthorizations.

The Commission may adopt any rules and regulations regarding the votingequity securities of any domestic stock insurer. These rules and regulationsshall cover (i) the solicitation of proxies, (ii) consents, (iii)authorizations, and (iv) any related financial reports. However, these rulesand regulations shall not apply to any domestic stock insurer whose equitysecurities are registered, or required to be registered, pursuant to § 12 ofthe Securities Exchange Act of 1934, as amended.
